Terms of Service

1. Definitions
- EventReplay: the platform owned by Jacopo Santoro that provides post-event replay processing and publishing services.
- Organizer: the individual or legal entity that commissions EventReplay to process the content of an event.
- Participant: the person who accesses replay content via the link provided by the Organizer.
- Content: video and audio recordings, slides, transcripts and any material provided by the Organizer or generated by EventReplay in the course of the service.
2. Scope of service
EventReplay provides a post-event processing service that includes: video and slide synchronisation, transcript generation, multilingual AI translation, per-session chatbot creation and content publishing on a dedicated platform. The service covers post-event replay only — EventReplay does not provide live-streaming services.
3. Organizer obligations
The Organizer undertakes to:
- Provide the materials required for processing (video/audio recordings, slides) in the required formats and within the agreed timeframes.
- Obtain and retain the necessary release forms from speakers for the publication of content on the EventReplay platform.
- Provide the list of participants authorised to access replay content, complete with valid email addresses.
- Guarantee that they hold the necessary rights over the materials provided.
4. EventReplay obligations
EventReplay undertakes to:
- Process content within the timeframes agreed with the Organizer.
- Guarantee the hosting and accessibility of the platform for the entire duration of the contract.
- Carry out routine platform maintenance and resolve any malfunctions within a reasonable time.
- Protect personal data in accordance with the GDPR and its own Privacy Policy.
5. Intellectual property
All content provided by the Organizer (video, audio, slides) remains the exclusive property of the Organizer. EventReplay acquires a limited, non-exclusive and revocable licence to use such content, solely as necessary for the provision of the service (processing, hosting, distribution to authorised participants).
The EventReplay platform, its code, design and AI features remain the exclusive property of EventReplay.
6. Participant access
Access to replay content is provided via a magic link sent to the participant's email address. Each participant may have a maximum of 2 simultaneous active sessions. The link is personal and non-transferable. The Organizer is responsible for the accuracy of the participant list.
7. Hosting duration
Content remains available on the platform for the duration agreed in the contract (6, 12 or 24 months). Upon expiry of the hosting period, content enters archive mode (read-only, without active chatbot). The Organizer may request a hosting renewal or a download of their content before the expiry date.
8. Payment
Payment for the service is made in two instalments:
- 50% on order: upon confirmation of the engagement by the Organizer.
- 50% on publication: upon the content going live on the platform.
Payments must be made within 30 days of the invoice date, unless otherwise agreed in writing. In the event of late payment, EventReplay reserves the right to suspend access to the content until the balance is settled.
9. Limitation of liability
EventReplay is not liable for:
- Damage arising from the quality of materials provided by the Organizer (poor-quality audio/video recordings, illegible slides, etc.).
- Temporary service interruptions due to scheduled maintenance or force majeure.
- Any inaccuracies in transcripts or translations generated by artificial intelligence.
- Improper use of content by participants.
In any event, EventReplay's total liability to the Organizer shall not exceed the total amount paid by the Organizer for the service in dispute.
10. Withdrawal and termination
The Organizer may withdraw from the contract at any time before the content is published. In the event of withdrawal:
- If work has not yet begun: full refund of the deposit.
- If work is in progress: the 50% deposit is retained as compensation for work performed.
EventReplay may terminate the contract in the event of non-payment, breach of these terms or failure to provide materials within the agreed timeframes, following written notice with 15 days' prior warning.
11. Amendments to the terms
EventReplay reserves the right to amend these terms. Amendments will be communicated with at least 30 days' notice and will apply to new contracts entered into after the effective date.
12. Governing law and jurisdiction
For any dispute relating to the interpretation or performance of these terms, the parties agree on the exclusive jurisdiction of the Court of Lecce, Italy.
